Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website and services provided by Dennis Lykeisha ("we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.

Services

We provide software development, consulting, and related professional services. Specific deliverables, timelines, and fees will be described in a written statement of work, proposal, or invoice ("SOW") agreed between the parties.

Fees and payment

Fees are due as specified in the applicable SOW or invoice. Payments are processed securely through Stripe. Late payments may accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.

Intellectual property

Unless otherwise agreed in writing, upon full payment we assign to you all rights in the custom deliverables produced under the SOW, excluding pre-existing materials, third-party components, and general know-how, which we retain and license to you for the intended use.

Confidentiality

Each party agrees to keep confidential the non-public information disclosed by the other party and to use it only for the purposes of performing under the SOW.

Warranties and disclaimers

We warrant that services will be performed in a professional and workmanlike manner. EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE FEES PAID BY YOU IN THE 3 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

Termination

Either party may terminate a SOW for material breach that is not cured within 15 days of notice. Upon termination, you will pay for all services performed through the effective date of termination.

Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of laws principles. Exclusive jurisdiction lies with the state and federal courts located in Harris County, Texas.

Changes to the Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
